Terms and Conditions

(a) The Customer has reviewed, accepted, and is in compliance with the applicable terms of use related to all integrations and functionalities of the NOTIFYY.io Platform, including those involving WhatsApp Official Business solutions, Pre-Integrated Business Applications, and Custom-Integrated Business Applications.

(b) The Customer has taken all necessary steps to enable seamless interoperability between the NOTIFYY.io Platform and all integrated systems, including obtaining any required approvals, either directly or through the Customer's Clients, to effectively access and manage WhatsApp messaging channels for business purposes.

2.1 Customer Responsibilities

You must comply with the applicable terms of third-party platforms and business applications integrated with Notifyy.io. This includes obtaining the necessary approvals, API keys, and permissions required for interoperability between the Notifyy.io platform and external services.

2.2 Compliance with Third-Party Policies

You are responsible for ensuring that your usage of third-party messaging platforms (such as WhatsApp) and business applications adheres to their respective terms and conditions.

3.1 Google OAuth 2.0

Notifyy uses Google Sign-In (OAuth 2.0) as the primary authentication method for accessing the Service. By using the Service, you agree to authenticate using your Google account credentials.

3.2 Google Data Access

When you sign in with Google, you grant Notifyy permission to access certain information from your Google account, including your email address and basic profile information (name, profile picture). Optional features may request additional permissions (such as Google Contacts or Calendar access), which you can grant or revoke at any time.

3.3 Account Security

You are responsible for maintaining the security of your Google account. Notifyy is not liable for any unauthorized access to your Notifyy account resulting from compromised Google account credentials.

3.4 Revoking Access

You may revoke Notifyy's access to your Google account at any time through your Google Account settings (myaccount.google.com/permissions). Revoking access will prevent you from accessing the Service until you reconnect your Google account.

4.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, without notice. If we alter the Subscription fees, you will be notified, and you can choose to terminate the Service before the new fee takes effect.

4.2 Fee Changes

Subscription fees are subject to change at our discretion. Any changes will take effect at the end of the current billing cycle. Continued use of the Service after the fee change constitutes acceptance of the new fees.

4.3 Service Enhancements

Any new features or tools added to the Service will be governed by these Terms. We may update these Terms from time to time, and continued use of the Service indicates your acceptance of such changes.

5.1 Notifyy.io Ownership

All rights, including intellectual property rights, to Notifyy.io and related content are owned by Thryakshari Software Solutions Pvt. Ltd. We grant you a non-transferable, non-exclusive license to use the Service for its intended purposes.

5.2 Customer Content

You retain ownership of any content you upload or provide to the Service, but by using the Service, you grant us a license to use, store, reproduce, and process your content to provide the Service. We claim no ownership over your content.

5.3 Third-Party Content

Content accessible via the Service may be subject to third-party copyrights, and you are granted no rights to use such content beyond the Service's intended functionality.

6.1 Data Collection and Use

By using the Service, you acknowledge that we may collect, store, use, modify, and transfer your data (including personal data) as necessary to provide the Service. This includes data obtained through Google Sign-In (such as your email address and profile information). We will use your data to improve the Service, comply with legal obligations, and ensure the quality of our offerings.

6.2 Customer Data Rights

You retain all rights to your data. We will not sell or share your data with third parties except as necessary to deliver the Service or comply with legal requirements.

6.3 Data Protection Laws Compliance

Notifyy.io adheres to relevant data protection regulations, including the General Data Protection Regulation (GDPR) and applicable local laws in India.

7.1 Account Security

You are responsible for maintaining the confidentiality and security of your account and credentials, including usernames and passwords. Notifyy.io is not liable for any unauthorized access resulting from your failure to protect account credentials.

7.2 Prohibited Activities

You agree not to use the Service for illegal, harmful, or unauthorized purposes, including but not limited to:

• Sending harmful content (viruses, malware, etc.)
• Engaging in abusive, offensive, or defamatory behavior
• Violating third-party intellectual property rights
• Attempting unauthorized access to the Service

7.3 Customer Obligations

You are responsible for ensuring all communications and data exchanged through the Service comply with relevant laws and regulations, including obtaining necessary opt-in consents for communications (e.g., WhatsApp opt-in policies).

8.1 WhatsApp Policy Compliance

Customers must comply with the WhatsApp Business API terms, including message templates, opt-ins, and rate limits. Any violation of WhatsApp's policies may result in the suspension of your access to the WhatsApp platform.

8.2 Message Limits and API Use

Message limits are imposed by WhatsApp, and you are responsible for ensuring compliance with those limits. We take no responsibility for violations of WhatsApp's policies or any charges resulting from such violations.

8.3 Onboarding and Verification

By using the Service, you agree to provide all required documents and adhere to the WhatsApp Business Account (WABA) verification process. The Green Checkmark is granted at WhatsApp's discretion.

9.1 Payment Structure

You agree to pay the applicable fees for the Service as detailed on the Notifyy.io website. Fees are charged on a subscription basis (pre-paid) and for variable usage (post-paid).

9.2 Payment Terms

Payments must be made in Indian Rupees. You are responsible for any applicable taxes and duties, which are not included in the service fees.

9.3 Refunds and Cancellation

There are no refunds for partial months, upgrades, downgrades, or unused portions of the Service. Terminating the Service before the end of the term will not result in a refund.

10.1 Exclusion of Liability

Notifyy.io is not liable for any direct, indirect, incidental, or consequential damages resulting from your use of the Service. This includes data loss, system outages, or any other interruptions to service.

10.2 Limitation on Damages

In no event will our liability exceed the fees you have paid for the Service within the 12-month period preceding the event giving rise to the claim.

11.1 Termination by Customer

You may terminate your subscription by providing notice 30 days before the end of the current term. Account cancellation requests must be submitted via email to support@notifyy.io.

11.2 Termination for Non-payment

Failure to pay applicable fees may result in the suspension or termination of your account.

11.3 Account Deletion

Upon account cancellation, all content and data may be deleted, and it cannot be recovered after a 90-day grace period.

12.1 Applicable Law

These Terms are governed by the laws of India, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any disputes arising out of or in connection with these Terms will be resolved through arbitration in India as applicable.

13.1 Rights of End Users

End users have the right to opt-out of receiving messages at any time. The Customer is responsible for honoring such requests and complying with all applicable laws related to data protection.

13.2 User Obligations

End users agree not to use the Service to send spam, harass, or violate any applicable laws. The Customer is liable for any misuse of the Service by end users.

14.1 Force Majeure

We are not liable for delays or failure to perform caused by events beyond our reasonable control, such as natural disasters or government actions.

14.2 Amendments

We may update these Terms at any time, and such changes will be effective upon posting. You should review these Terms periodically.

14.3 Entire Agreement

These Terms constitute the entire agreement between you and Notifyy.io regarding the use of the Service and supersede all prior agreements or understandings.
